Real Estate Leasing Paralegal
Responsible for assisting company attorneys in the preparation of legal documents, obtaining legal instruments, closing of real estate sales and purchases, closing of loans and maintenance of legal files and records and monitoring of transactions as directed.
RESPONSIBILITIES:
Maintain records of purchase agreements for the acquisition and sale of commercial real estate, maintain earnest money records, monitor additional earnest money dates, obtain refunds of earnest money on terminated purchases
Prepare initial drafts of purchase agreements, standard lease forms and miscellaneous legal documents as directed
Prepare critical date lists for all purchase agreements and leases
Coordinate and obtain OFAC searches, business license and UCC searches from appropriate sources
Review title commitments, exception documents and surveys for issues that affect proposed purchase and/or development and conformity with Continental requirements (as communicated by the Chief Legal Officer and/or Legal Development Manager); prepare drafts of title objection letters for attorney review
Negotiate title exceptions and endorsements with Title Companies to ensure that proper coverage in conformance with Continental requirements (as communicated by the Chief Legal Officer and/or Legal Development Manager) is obtained
Prepare circulate and enforce closing checklists
Prepare closing documents and confirm the receipt and accuracy of all documents necessary for closings
Coordinate real estate purchase, sale, loan, development fund, and income fund closings with internal personnel, lenders, purchasers, sellers and their respective representatives, as necessary
Prepare electronic closing binders with final copies of all documents; monitor receipt of title policy updated to date of closing and delivery of any additional post-closing items
Prepare lease abstracts and summaries of legal documents
Analyze legal agreements of all types to determine issues that may impact proposed development or other issues of concern
Maintain and update computerized samples and masters of leases, easements, purchase agreements, legal forms and standard clause provisions
Coordinate legal documents with the needs of other Continental departments
Maintain final drafts of all legal instruments on computer system and make available final legal documents on the computer network for other department review
Assist with preparation and maintenance of corporate documents
Assist with development project closeout, including review of as-built survey and other items as assigned
Assist company attorneys and other Legal Department team members as directed
Assist with review and acknowledgment of service of process and other notices, including distribution of same to appropriate team members and other Continental departments
Assist with special projects and initiatives as assigned
Additional duties as assigned
QUALIFICATIONS & REQUIREMENTS:
Education: Bachelors Degree required.
Experience: At least one year of commercial real estate experience preferred.
Skills: Understanding of title insurance, surveys and real estate closings desired. Good organization and record keeping skills; strong attention to detail and an ability to proof and abstract documents. Strong (written and oral) communication skills. An unmatched work ethic. Exercises good judgment and discretion when setting priorities and coping with competing demands.
